Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons in accordance with Disclosure Rules 3.1.4R(1)(a).
Approved share option exercises
The Company announces the following Director and PDMRs of the Company have advised that they have exercised an option to purchase ordinary shares of 0.4p each in the Company ("Ordinary Shares") under the Company's Approved Executive Share Option Plan ("Approved scheme"). The exercise price was £1.95 per Ordinary Share and the options were originally granted on 24th March 2009 pursuant to the Hargreaves Lansdown Approved Executive Share Option Plan 2000.

The Ordinary Shares issued in respect of this exercise of options have been satisfied by way of transfer of Ordinary Shares from the Company's Employee Benefit Trust.
The Approved scheme exercises above are part of a larger employee exercise which has taken place from 24th March 2014. A total of 43 employees (including directors and PDMRs) were granted options under the scheme.
Share sales
The Company announces that it has today received notification of transactions from the following PDMRs and Director:
1) Mr Evans, a Director, sold a total of 7,500 ordinary shares in the Company at a price of £14.68 per share, on the 27th March 2014. The number of ordinary shares sold represented 0.0016% of the ordinary shares in issue. Following this transaction, the beneficial shareholding of Mr Evans (including his connected persons) is 8,125 ordinary shares representing 0.002% of the ordinary shares in issue.
2) Mr Hunter, a PDMR, sold a total of 750 ordinary shares in the Company at a price of £14.56 per share, on the 27th March 2014. The number of ordinary shares sold represented 0.0002% of the ordinary shares in issue. Following this transaction, the beneficial shareholding of Mr Hunter (including his connected persons) is 571,521 ordinary shares representing 0.12% of the ordinary shares in issue.
3) Mr Bence, a PDMR, sold a total of 2,016 ordinary shares in the Company at a price of £14.63 per share, on the 27th March 2014. The number of ordinary shares sold represented 0.0004% of the ordinary shares in issue. Following this transaction (and the exercise of the approved option detailed above), the beneficial shareholding of Nigel Bence (including his connected persons) is 202,457 ordinary shares representing 0.04% of the ordinary shares in issue.
