Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has today been notified that on Thursday 22 October 2015, Miss Annette Kelleher, a person discharging managerial responsibilities of Hill & Smith, purchased 2,164 ordinary shares in the Company at 665 pence per share.

These transactions were effected on the London Stock Exchange.

Following the above, Miss Annette Kelleher is beneficially interested in 2,164 ordinary shares or less than 0.01% of the Company's total issued share capital.
