Hill & Smith Hldgs PLC10 December 2007 Notification under paragraph 3.1.2R of the Disclosure and Transparency Rules Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that on 7 December 2007 it received notification that on the same day Mr David Grove, executive chairman of Hill & Smith, purchased 110,000 ordinary shares in the Company at 330 pence per share. The place of this transaction was the London Stock Exchange. Following this transaction, Mr Grove is beneficially interested in 669,969 ordinary shares in the Company, representing approximately 0.9% of the issued share capital of Hill & Smith, and has options over 12,360 ordinary shares.
