Sales of shares and Grant of Deferred Bonus Plan share awards
The Company confirms that on 24 June 2020 it granted to each of its executive directors an award (structured as a nil-cost option) under the rules of its Deferred Bonus Plan in respect of bonuses earned for the year ending 31 December 2019.
Mr D W Muir has been granted a nil-cost option over 4,249 ordinary shares and Mrs H K Nichols has been granted a nil-cost option over 631 ordinary shares.
The awards were based on a share price of 1307.00p, being the average of the mid-market prices for the three trading days prior to the normal grant date of 12 March 2020. The award of this grant was delayed until after the AGM, as Ms Nichols's spouse was an audit partner of KPMG, the Company's previous auditor and, accordingly, Ms Nichols was not was not permitted to have a beneficial interest in any shares or share options until KPMG were replaced by EY LLP at the conclusion of the AGM on 23 June 2020.
Also, as at 24 June 2020, the Company has been informed that, ahead of his retirement, Mr D W Muir has sold 150,000 shares at a price of £13.43. Following this sale and the grant of deferred bonus shares Mr D W Muir has a beneficial interest in 217,437 ordinary shares, in line with the Company's Executive Director shareholding guidelines and he retains share options over 124,838 shares.
