Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it was notified on 18 August 2009 that Mr J F Lennox, a person discharging managerial responsibilities of Hill & Smith, purchased 2,500 ordinary shares in the Company earlier that day at 283.94 pence per share.  This purchase was effected on the London Stock Exchange.

Following this purchase, Mr Lennox is beneficially interested in 2,500 ordinary shares.
