Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it was notified on 26 November 2009 that Mr D L Grove, a person discharging managerial responsibilities of Hill & Smith, sold 110,000 ordinary shares in the Company on 26 November 2009 at 351.0 pence per share. These transactions were effected on the London Stock Exchange.

Following this purchase, Mr Grove is beneficially interested in 859,969 ordinary shares in the Company and has options over 13,119 ordinary shares.
