Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has been notified today that M A Tonks, a person discharging managerial responsibilities of the Company, sold 3,693 ordinary shares in Hill & Smith ("Ordinary Shares") on 29 March 2012 at 340.0 pence per share and 8,356 Ordinary Shares on 3 April 2012 at 330.75 pence per share. The transaction was effected on the London Stock Exchange.

Following this sale, Mr Tonks is beneficially interested in 38,006 ordinary shares of the Company and options over 183,296 Ordinary Shares.
