Result of Placing

Further to the announcement of 10 June 2019, the Board of Directors (the "Board") of HgCapital Trust plc (the "Company") is pleased to announce the placing has closed, raising £63.7 million before costs and expenses through the issue of 29,352,828 ordinary shares of 2.5 pence in the capital of the Company (the "New Ordinary Shares") by way of a placing (the "Placing").

Applications will be made for 29,352,828 New Ordinary Shares to be admitted to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities. Admission is expected to become effective, and dealings in the New Ordinary Shares to commence at 8 a.m. on 18 June 2019.

Following the Issue, the Company's issued share capital will comprise 402,599,808 Ordinary Shares with voting rights, therefore, as at 18 June 2019, the total number of voting rights in HgCapital Trust plc will be 402,599,808. The above figure (402,599,808) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
