Merger of Henderson Group plc and Janus Capital Group Inc.

The below notification was required to be announced under the Australian Stock Exchange Listing Rules.

Securities Trading on Deferred Settlement Basis

We wish to advise that following the recent approval by shareholders of (amongst other things) the consolidation of our shares (and CHESS Depositary Interests (CDIs)), the CDIs will commence trading on a deferred settlement trading basis on Thursday 25 May 2017 up to the close of trading on ASX on Friday 2 June 2017. The ASX code during this period will be HGGDA.

In connection with the proposed merger, Henderson has filed a registration statement on Form F-4 with the U.S. Securities and Exchange Commission (SEC), containing a proxy statement of Janus Capital Group and other documents regarding the proposed merger.
