Merger of Henderson Group plc and Janus Capital Group Inc.

Confirmation of Reduction of Capital

Further to the special resolution passed at the Extraordinary General Meeting on 26 April 2017, Henderson Group plc ('Henderson Group') confirms that the nominal value of each share has been reduced from US$0.1547 to US$0.15 with effect from 3 May 2017.
