Herencia Resources PLC28 December 2006 Herencia Resources plc (the "Company") Total Voting Rights For the purposes of the transitional provisions of the Financial ServicesAuthority's Disclosure and Transparency Rules, the total number of ordinaryshares of 0.1p each in the capital of the Company in issue as at the date ofthis notice is 328,066,666 with each share carrying the right to one vote. There are no shares held in treasury. Therefore, the total number of voting rights in the Company is 328,066,666.
