Exercise of share options/ total voting rights

Headlam Group plc ('Headlam') announces that on 19 November2014, Tony Brewer, Group Chief Executive, and Stephen Wilson, Group Finance Director, each exercised awards granted on 4 October 2010 under the Headlam Group Co-Investment Plan, of which 80% had vested, over 79,087 and 57,110 shares respectively. The awards had an exercise period between 8 October 2013 and 8 October 2020, the total amount paid on exercise being £1 each.

Tony Brewer and Steve Wilson retained all of the shares increasing their beneficial shareholding in Headlam to 606,072 and 522,065 shares respectively representing 0.71% and 0.61% respectively of the issued share capital. Details of other share based awards are set out in the Company's annual report.

These shares awards were satisfied from shares held by the trustee that were acquired from the open market in August and September 2011.

Following the above transfer of shares, the trustee held 224,941 ordinary shares representing 0.26% of the issued share capital.

The total number of ordinary shares in issue (excluding shares held as treasury shares) remains 84,067,226. Therefore, the total number of voting rights in the Company is 84,067,226.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
