Additional Listing and Total Voting Rights
Application has been made to the FCA and the London Stock Exchange for 88,350 new ordinary shares of 5 pence each in the capital of the Company (the 'New Ordinary Shares') to be admitted to the premium listing segment of the Official List and to trading on the London Stock Exchange's Main Market for listed securities ('Admission'). The New Ordinary Shares are being issued under the terms of the deferred consideration relating to the acquisition of Domus Group of Companies Limited, as announced on 7 December 2017. The New Ordinary Shares will rank pari passu with the Company's existing ordinary shares and Admission is expected to occur on or around 9 December 2019.
Following Admission, the Company's issued share capital will comprise 85,452,093 ordinary shares of 5 pence each ('Ordinary Shares'). Of this total, the Company holds 559,934 Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company will be 84,892,159. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
