Short-term Debt Facility

Nighthawk, the US focused oil development and production company (AIM: HAWK and OTCQX: NHEGY), announces that it has entered into a short-term debt facility (the "Facility") to fund the purchase of the remaining 25% working interest in its Smoky Hill and Jolly Ranch projects in Colorado. The Company exercised its option to acquire the 25% interest on 4 July 2013 and it is envisaged that the acquisition will be concluded within the coming weeks when a further notification will be made.

Key Terms of the Facility

·; US$12 million unsecured loan with a term of six months from date of drawdown

·; Facility provided by Kattrumpan Fastighets AB (the "Lender"), a company associated with Johan Claesson, the Company's major shareholder

·; Interest rate of 9% per annum payable quarterly

·; Principal repayments of US$1 million per month plus a residual payment of US$6 million. The Company may accelerate the repayment at its discretion and at no penalty

·; The Lender has agreed to waive arrangement and legal fees and to lend on an unsecured basis. In consideration the Lender will be granted 30 million warrants ("Warrants") to acquire ordinary shares of 0.25p each in the Company ("Shares") at a price of 7.25 pence per Share

·; Warrants will expire on the second anniversary of the drawdown date

Entering into the Facility is a related party transaction under the AIM Rules. Accordingly, the Nighthawk Board considers, having consulted with Westhouse Securities Limited the Company's Nominated Adviser, that the terms of the Facility are fair and reasonable in so far as the Company's shareholders are concerned.
