Director Dealings and Issue of Equity
H&T Group plc ("H&T" or "the Group") announces that it was informed on 24 August 2016 that on 24 August 2016, John Nichols, Chief Executive Officer, and Steve Fenerty, Finance Director, exercised options over a total of 138,630 ordinary shares of 5p each in the Company pursuant to the H&T 2006 Option Scheme (the "Options"), as set out in the table below:

The Company has issued and allotted 138,630 new ordinary shares of 5p each pursuant to the exercise of the Options. The Company has also issued and allotted a further 8,991 new ordinary shares of 5p each pursuant to the exercise of options by employees.
Accordingly, an application has been made for a total of 147,621 new ordinary shares in the Company to be admitted to trading on AIM and it is expected that admission will take place on 1 September 2016. The new ordinary shares will rank pari passu with the existing shares of the Company.
Following Admission, the Company's enlarged issued share capital will comprise 37,003,885 ordinary shares with one voting right per share. No shares are held in Treasury. The total number of voting rights in the Company is therefore 37,003,885.
This figure of 37,003,885 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
Simultaneous with the exercise of the Options, the Company was informed on 24 August 2016 that on 24 August 2016 John Nichols sold a total of 87,397 ordinary shares in the Company at a price of 288.0 pence per share and Steve Fenerty sold a total of 51,233 ordinary shares in the Company at a price of 288.0 pence per share. Following these share sales both John Nichols' and Steve Fenerty's interests in the Company remain unchanged. Mr Nichols holds a total of 1,079,530 ordinary shares in the Company representing 2.92% of the Company's issued share capital and Mr Fenerty holds a total of 305,933 ordinary shares in the Company representing 0.83% of the Company's issued share capital.
