The Company announces that, at the Annual General Meeting held on 11 March 2013, all 12 resolutions proposed were duly passed including ordinary resolution 9 and special resolutions 10 to 12 under special business of the Company:
(Resolution 9) Authority to allot shares
(Resolution 10) Authority to disapply pre-emption rights on new issues ofshares
(Resolution 11) Authority to disapply pre-emption rights on sales of Treasuryshares
(Resolution 12) Authority to buy back own shares
In compliance with the provisions of the Combined Code, the proxies received for each of these Resolutions are indicated below.
A total of 122 proxy forms representing over 25 million shares were lodged with the Registrars. These shares represent approximately 53% of the issued share capital of the Company and the votes were cast as follows:-
