NOTIFICATION OF INTERESTS OF DIRECTORS AND CONNECTED PERSONS

Porton Down, UK, 30th March 2012: GW Pharmaceuticals (AIM: GWP) hereby provides notification that the Company was notified on 29th March that Dr Geoffrey Guy, a Director and Executive Chairman of the Company, had completed the following series of transactions in the ordinary 0.1 pence shares of GW Pharmaceuticals plc.

On 26th March 2012, Dr Guy transferred 9,780 shares to his personal pension scheme. This transaction, representing less than 0.1% of the Company's current issued share capital, was completed when the middle market price was 90 pence per share.

On 27th March 2012, Dr Guy gifted 165,000 shares to a family member. This transaction, representing 0.12% of the Company's current issued share capital, was completed when the middle market price was 88 pence per share.

On 28th March 2012, Dr Guy gifted 200,000 shares to charity. This transaction, representing 0.15% of the Company's current issued share capital, was completed when the middle market price was 86.25 pence per share.

Following these transactions Dr Guy retains a beneficial interest in 17,187,654 GW Pharmaceuticals plc ordinary shares of 0.1 pence each, representing 12.9% of the Company's current issued share capital.

The total number of shares outstanding in the Company is 133,147,354 ordinary shares of 0.1 pence each.
