NOTIFICATION OF INTERESTS OF DIRECTORS AND CONNECTED PERSONS

Porton Down, UK, 17 December 2014: GW Pharmaceuticals (AIM: GWP) hereby provides notification that the Company has today been notified that earlier in the day Mr Justin Gover, Chief Executive Officer of the Company, and his wife have completed a transfer of the ownership of 2,143,314 0.1 pence ordinary shares of GW Pharmaceuticals plc to The Gover Family Investment LLP, an investment vehicle in which they jointly retain a 100% interest.

This transfer, representing 0.9% of the Company's current issued share capital, took place for nil consideration and was completed when the market price of the Company's ordinary shares was 353 pence per share.

Following this notification Mr Gover's beneficial interest in GW Pharmaceuticals plc ordinary shares of 0.1 pence each remains unchanged at 2,143,315 shares, representing 0.9% of the Company's current issued share capital.

The total number of shares outstanding in the Company is 236,800,996 ordinary shares of 0.1 pence each.
