("Grainger" or the "Company")
NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
The Company was notified on 8 February 2017, that the following transactions have taken place in relation to the Grainger Share Incentive Plan ("SIP") on 7 February 2017. The SIP is an all-employee plan approved by HM Revenue and Customs, under which employees are able to receive allocations of free 5p ordinary shares in the Company ("Ordinary Shares").
A total of 76,788 Ordinary Shares were purchased at a price of 246.2p per share on 7 February ("Free Shares"). The Free Shares were allocated to all employees participating in the SIP as Free Shares and registered in the name of Capita IRG.
Nick Jopling, who is a director and person discharging managerial responsibilities, was allocated 877 Free Shares as a participant in the SIP, for no consideration. As a result of the above transaction, the interests of Nick Jopling and his connected persons in the Company's Ordinary Shares (excluding options, awards under the Company's LTIPs and interests as potential beneficiaries of the Company's Employee Benefit Trusts) are as follows:
