Grainger plc Director / PDMR Shareholdings
Grainger plc ('The Company) announces that pursuant to The Grainger 20047 Long Term Incentive Plan ('LTIP') and following an assessment of the performance conditions by its remuneration Committee, the share awards set out below, conditionally granted on 26 November 2010, vested in full on 26 November 2013.

These shares are being held by the EBT to satisfy share awards arising under Grainger plc's employee share schemes. Subsequent to the above transactions the EBT holds 4,262,936 shares in Grainger plc which represents 1.03% of the issued share capital.
