Goals Soccer Centres plc ("Goals" or the "Company")

Exercise of Options, Issue of Equity and Director Shareholdings

Goals announces that it has today been notified of the exercise of options at a price of 62 pence per ordinary share of 0.25 pence ("Ordinary Share") each in the Company by Morris Payton, Keith Rogers and William Gow, Directors of the Company.

Accordingly the Company has issued the new ordinary shares ("new shares") detailed below:

Morris Payton: 29,000

Keith Rogers: 161,290

William Gow: 161,290

Application has been made for these New Shares to be admitted to trading on AIM. The shares will rank pari passu with the existing issued shares of the Company and dealings are expected to commence on 22 March 2013. Following the issue of these New Shares, the Company has a total of 51,401,028 Ordinary Shares in issue.

Subsequent to the issue of the New Shares Morris Payton sold 14,500 Ordinary Shares at 135 pence and transferred 214,500 Ordinary Shares to his wife, Susan Payton, of which 14,500 Ordinary Shares were sold at 135 pence each. Following today's transactions, the shareholding of Morris Payton and persons connected to him is unchanged at 271,910 Ordinary Shares representing approximately 0.5 per cent. of the Company's issued ordinary share capital, all of which are held beneficially.

Subsequent to the issue of the New Shares Keith Rogers sold 147,290 Ordinary Shares at 137 pence and transferred 14,000 Ordinary Shares to his wife, Natalie Rogers, all of which were sold at 137 pence each. Following today's transactions, the shareholding of Keith Rogers and persons connected to him is unchanged at 4,092,986 Ordinary Shares representing approximately 7.9 per cent. of the Company's issued ordinary share capital, all of which are held beneficially.

Subsequent to the issue of the New Shares William Gow sold 14,000 Ordinary Shares at 137 pence and transferred 147,290 Ordinary Shares to his wife, Fiona Gow, who subsequently sold 297,290 Ordinary Shares at 137 pence each. Following today's transactions, the shareholding of William Gow and persons connected to him is 1,273,145 Ordinary Shares representing approximately 2.5 per cent. of the Company's issued ordinary share capital, all of which are held beneficially.
