Directors' and PDMRs' Share Options

Genus announces that conditional nil-cost share options were granted under the Genus 2004 Performance Share Plan ("the Plan") today to:

·; Karim Bitar, Director (and new Chief Executive Officer with effect from 30 September 2011), as to 63,917 ordinary shares of 10 pence each in the Company ("Shares")

·; John Worby, Group Finance Director, as to 30,680 Shares

·;  Ian Biggs, Head of Global Product & Business Strategy, as to 20,453 Shares

·; Thomas Philip Acton, Chief Operating Officer, Europe & The Far East as to 20,453 Shares

·; Bill Christianson, Chief Operating Officer, The Americas, as to 20,453 Shares 

·; Ian Farrelly, Group Company Secretary & General Counsel as to 17,385 Shares, and

·; David Crosby, Group Financial Controller, as to 14,982 Shares.

Under the Plan these share options are subject to challenging performance conditions that relate to the growth in the Company's adjusted earnings per share over a three year performance period and which trigger vesting on an incremental basis.

The Company also announces that it today granted Karim Bitar a conditional share award ("Award") as to 77,259 Shares. Subject to the continued employment of Karim Bitar by the Company at the relevant vesting date, 36,685 Shares subject to the Award will vest on 31 January 2012 and 40,574 Shares subject to the Award will vest on 31 January 2013. No consideration is payable on the grant or vesting of the Award.

Karim Bitar has no direct shareholding in the Company and is the beneficial owner of 63,917 nil-cost share options and 77,259 conditional Shares. 

John Worby's direct shareholding stands at 10,000 Shares representing 0.017% of the issued share capital of the Company. In addition, he is the beneficial owner of 196,900 nil-cost share options. 

Ian Biggs' direct shareholding stands at 3,375 Shares representing 0.006% of the issued share capital of the Company. In addition, he is the beneficial owner of 129,983 nil-cost share options. 

Thomas Philip Acton's direct shareholding stands at 21,104 Shares representing 0.035% of the issued share capital of the Company. In addition, he is the beneficial owner of 123,537 nil-cost share options.

Bill Christianson has no direct shareholding in the Company and is the beneficial owner of 56,953 nil-cost share options and 26,189 market value share options.

Ian Farrelly has no direct shareholding in the Company and is the beneficial owner of 92,403 nil-cost share options.

David Crosby has no direct shareholding in the Company and is the beneficial owner of 53,843 nil-cost share options and 16,373 market value share options.
