("GLIF" or the "Company")
Confirmation of Final Consideration Payable for the Acquisition and Amount of the Placing
Further to the announcement of 7 November 2012 relating to the Acquisition of BMS Finance AB, GLIF announces that the consideration payable for the Acquisition of approximately £11.6 million in aggregate is to be satisfied by the issue of 20,545,400 Consideration Shares and the payment of £1.3 million in cash to the Seller. Of these Consideration Shares, 2,518,271 are to be sold to investors at the Placing Price of 47.215 pence per Placing Share pursuant to the Placing. The Acquisition and the Placing remain conditional, inter alia, on admission of the Consideration Shares to trading on AIM and to the Official List of the CISX, which is expected to take place on 12 November 2012.
Following admission, the Company's issued share capital and total voting rights will comprise 119,179,010 Ordinary Shares. The Company currently holds no shares in treasury.
