Suspension of Shares

Further to the announcements on 4 November 2014 and 26 November 2014, M J Gleeson Group Public Limited Company (the "Company") announces that trading in the Company's shares will be suspended with effect from 7.30 a.m. (London time) this morning, in accordance with the Company's application to the UK Listing Authority and as part of the Scheme.

The Court Hearing to sanction the Scheme and Old MJ Gleeson Capital Reduction will be held today. Subject to Court approval being obtained and the timing of the delivery of the Court Order to the Registrar of Companies, the Scheme is expected to become effective later today.

The cancellation of the listing of the Company's shares from the premium segment of the Official List of the UK Listing Authority and the cancellation of trading in the Company's shares on the main market of the London Stock Exchange has been applied for and, subject to the Scheme becoming effective, are expected to take place at 8.00 a.m. (London time) on 19 December 2014.

Defined terms used in this announcement have the same meanings as those used in the Circular published by the Company on 4 November 2014.
