Gresham House today announces that on 9 December 2019, pursuant to the rules of the Gresham House plc Performance Share Plan 2018 ("PSP"), the Company awarded the PDMRs listed below, in aggregate, nil-cost options over 274,728 ordinary shares in the capital of the Company ("Ordinary Shares") based on a price of 560.25p, being the average closing price of the Ordinary Shares over the ten trading days prior to 19 September 2019 (the "Award Date").

The above awards will vest on the third anniversary of the Award Date (18 September 2022) subject to the PDMRs remaining employees of the Company and satisfying the following performance conditions:

·; 50% of each award will vest if the mid-market closing share price of the Company outperforms the FTSE All Share Price Index over the period from 19 September 2019 to 18 September 2022; and
·; 50% of each award will vest on satisfaction of either of the following two conditions:
o if, over the period from 19 September 2019 to 18 September 2022, there has been greater than or equal to 7 per cent per annum compound growth in the mid-market closing share price of the Company; or
o if there has been greater than or equal to 7 per cent per annum compound growth in adjusted earnings per share of the Company from the year ending 30 June 2019 to the year ending 30 June 2022.

Following the end of the vesting period and satisfaction of the relevant performance conditions, the award holder can exercise the LTIP Options and acquire Ordinary Shares for nil cost, subject to the payment of any applicable taxes.
