Issue of awards to management under the Company's 2018 Bonus Share Matching Plan (the "Plan") and PDMR notifications
Gresham House, (AIM: GHE) the specialist alternative asset manager, notifies that certain members of its management team have elected to defer such amount of their 2022 bonuses as is permitted by the Company and receive, in exchange and subject to vesting in accordance with the Plan, ordinary shares of 25 pence each in the capital of the Company ("Ordinary Shares"), pursuant to the Plan.
The purpose of the Plan is to encourage Gresham House UK employees to invest in the long-term growth of the Company. Under the Plan and in the ordinary course, if the Company achieves growth in its mid-market closing share price equal to 7% per annum compounded growth from the date of award to the vesting date (which is a condition precedent) and the Company's share price outperforms the FTSE All Share Index from the date of award to the vesting date, the participant will receive 100% of the matching share award. Where the Company's share price does not outperform the FTSE All Share Index, the participant will receive 50% of the matching share award.
In the event that both of these performance conditions are not met, the participants will receive, on vesting, only the Ordinary Shares notionally allocated to them arising from their deferred bonus.
The notifications which follow, made pursuant to Article 19(3) of the Market Abuse Regulation, provide further details. The awards set out below are in respect of the gross Ordinary Shares notionally allocated to the relevant PDMR which arise from the exchange of their deferred bonus, subject to vesting. Any matching Ordinary Shares due to vest will be issued in accordance with the Plan. The awards under the Plan in respect of the 2022 bonus year (2022 BSM Awards) could not have been issued to the PDMRs listed below any earlier due to dealing restrictions being in place until 17 July 2023.

Mr Acton has previously been reported as holding 261,798 Ordinary Shares (0.68%). The correct holding, including the aforementioned 2022 BSM Award, is set out above.
Mr Andrew Hampshire, a PDMR who has not participated in the Plan this year but has participated in the Plan in the past, has previously been reported as holding 37,399 Ordinary Shares (0.10%). The correct holding is 36,499 Ordinary Shares (0.10%).
