Goodwin PLC16 October 2007 GOODWIN PLC ("the Company") DIRECTORS' SHAREHOLDINGS The Company received notification on 16th October 2007 of the followingtransactions in which Mr. J. W. Goodwin and Mr. R. S. Goodwin, directors of theCompany, are interested. John Goodwin Grandsons' Trust----------------------------- The distribution on 15th October 2007 of 221,648 ordinary shares in the capitalof the Company by the John Goodwin Grandsons' Trust, a Goodwin family trust ofwhich J. W. Goodwin and R. S. Goodwin are trustees (and have a non-beneficialinterest), to their respective sons as beneficiaries of the trust, S. R. Goodwinand B. R. E. Goodwin. Following this distribution the holding of the JohnGoodwin Grandsons' Trust in Goodwin PLC shares has decreased from 221,648 tonil. Mr. J. W. Goodwin, Mr. R. S. Goodwin and their sons M. S. Goodwin (also adirector of Goodwin PLC), S. R. Goodwin and B. R. E. Goodwin are acting inconcert (and deemed to be so).
