Director/PDMR shareholding

GCP Infrastructure Investments Limited has been notified that effective 31 March 2016, a Director of the Company Paul De Gruchy, dealt in a same value transfer of his entire holding of GCP Infrastructure OEIC Limited (the "OEIC") Ordinary Redeemable Accumulation Shares ("OEIC Shares"), into the Company ("Ordinary Shares"). The amount of Ordinary Shares received by Mr De Gruchy in will be based on the net asset value of the OEIC and mid-price of the Ordinary Shares which will be known on or around 6th April 2016, at which point a subsequent announcement will be made.

Paul De Gruchy is a Director of the Company. Accordingly the Company is treating him as a PDMR. This disclosure is made as a consequence of the proposed wind-up of the OEIC and the option to transfer OEIC Shares held as at 31 March 2016 into Ordinary Shares.
