Master Fund Update

The Company is a closed-ended investment company that seeks to generate returns from subordinated infrastructure debt and related and/or similar assets (the "Target Assets"). The Company achieves this by investing substantially all of its capital in GCP Infrastructure Fund Limited (the "Master Fund"), an open-ended investment company that holds the Target Assets. The Company is the majority shareholder of the Master Fund.

The board of directors of the Master Fund has declared an interim dividend of 4.05 pence per Master Fund Ordinary Income Share. The interim dividend will be paid on 15 May 2013 to the holders of Master Fund Ordinary Income Shares recorded on the register of members of the Master Fund as at 29 April 2013.

Based on this timetable, and following receipt of the dividend payable to it from the Master Fund, the Company expects to announce its interim dividend and relevant record, ex-dividend and payment dates on 17 May 2013.
