Alternate Director replaces Class A Director

On 24 November 2015, Grupo Clarín S.A. (the "Company") informed the Argentine Securities Commission and the Buenos Aires Stock Exchange that Mr. Saturnino L. Herrero Mitjans, a Director appointed by the Class A Shares, had passed away and, consequently, had been replaced on the Board by the alternate director for the Class A Shares, Mr. Horacio Eduardo Quirós. Mr. Quirós will act as Director until the next shareholders' meeting at which the new Company authorities are appointed, all pursuant to Article 258 of the General Companies' Law, the Bylaws and the shareholder resolutions adopted at the General Annual Ordinary Shareholders' Meeting held on 28 April 2015.
