GCP Asset Backed, which invests in asset backed loans, today announces that following the Conversion of C shares, the admission to listing on the Premium Listing segment of the Official List of the UK Listing Authority and commencement in dealings on the London Stock Exchange's Main Market for listed securities of 78,177,589 ordinary shares and the cancellation of C shares occurred at 8.00 a.m. today.

In conformity with the FCA's Disclosure Guidance and Transparency Rules, the Company would like to notify the market of the following.

As at 1 August 2017, the Company will have 242,789,672 ordinary shares in issue and therefore the total voting rights in the Company will be 242,789,672.

The figure 242,789,672 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company, under the FCA's Disclosure and Transparency Rules.

Terms used in this announcement shall have the same meanings given to them in the prospectus of the Company which was published on 20 January 2017 unless the context otherwise requires.
