Fisher (James) & Sons PLC16 March 2006 James Fisher and Sons PLC ("the Company") Directors interest in shares The Company was notified on 14 March 2006 that certain executive directors ofthe Company had increased their holding of Ordinary Shares of 25p each in theCompany ('Ordinary Shares') through the Company's Long Term Incentive Plan andShare Matching Scheme, following the satisfactory achievement of the performanceconditions stipulated in the plan. This has been accomplished by the vesting of an aggregate of 179,451 OrdinaryShares at a deemed price of 436.75p being the prevailing middle market price atclose of business on 13 March 2006, the day immediately before the announcementof the preliminary results. On the same day an aggregate of 41,275 OrdinaryShares were sold at a deemed price of 436.75p per share to fund the taxliability resulting from the award. Long Term Incentive Plan The options granted under the Long Term Incentive Plan have been granted at anexercise price of nil cost. The award is granted subject to the performanceconditions stipulated in the scheme rules and the option is exercisable on 14March 2009 assuming that performance conditions are met. No consideration was paid for the grant of options. Executive Share Option Scheme The options granted under the Executive Share Option Scheme have been granted ata price of 436.75p per share, being the average middle market price of a shareover the three dealing days immediately preceding the announcement of thepreliminary results. No consideration was paid for the grant of options. The award is granted subject to the performance conditions stipulated in thescheme rules and the option is exercisable from 14 March 2009 to 14 March 2016assuming that performance conditions are met.
