Formation Group PLC11 May 2006 Formation Group plc (the "Company") Notice of interest The Company has today been notified that, on 10 May 2006, David Kennedypurchased 6,000,000 ordinary shares of 1p each ("Ordinary Shares") in theCompany at 8p per share. This purchase increases David Kennedy's holding to23,297,381 Ordinary Shares, which represents 18.44% of the Company's issuedordinary share capital. The Company has also been notified today of the following transactions: On 10 May 2006, Lynette Dawn Yates disposed of 3,750,000 Ordinary Shares at 8pper share, reducing her shareholding to 11,596,667, which represents 9.18% ofthe Company's issued ordinary share capital. Lynette Dawn Yates is the wife ofDavid McKee, a director of the Company. David McKee is interested in anadditional 390,000 Ordinary Shares, which represents 0.31% of the Company'sissued ordinary share capital. On 10 May 2006, Paul Stretford disposed of 2,250,000 Ordinary Shares, reducinghis shareholding to 9,856,000 Ordinary Shares, which represents 7.80% of theCompany's issued ordinary share capital.
