Formation Group PLC12 March 2008 Formation Group PLC ("Formation" or the "Group") Transaction in the Group's Treasury Shares Formation announces that earlier today it sold 4,159,119 Ordinary Shares whichare held by the Company as Treasury Shares to Streetwise Limited as nominee forBalchan Management Limited acting as trustee for The David Kennedy Family Trust,the Group's largest shareholder, at a price of 20p per share. Following this transaction, Streetwise Limited, as nominee for BalchanManagement Limited now holds a total of 74,747,354 Ordinary Shares representing33.90% of the total number of Ordinary Shares in issue. The David Kennedy FamilyTrust is now the beneficial holder of 113,183,696 Ordinary Shares representing51.33% of the total number of Ordinary Shares in issue. The Company now holds no Treasury Shares and the total number of shares in issueis 220,515,112 Ordinary Shares.
