Exercise of Options and Total Voting Rights

FreeAgent Holdings plc, a provider of cloud-based Software-as-a-Service ("SaaS") accounting software solutions and mobile applications designed specifically for UK micro-businesses, announces that it has today issued and allotted 3,000 ordinary shares of £0.01 each ("Ordinary Shares") as a result of the exercise of employee share options.

Application will be made to the London Stock Exchange for admission of 3,000 Ordinary Shares to be admitted to trading on AIM and admission is expected to occur and trading commence on 5 April 2018.

Following Admission, the Company's total issued share capital will consist of 40,742,775 Ordinary Shares with one voting right per share. The Company does not hold any Ordinary Shares in Treasury. Therefore, following Admission, the total number of voting rights in the Company will be 40,742,775. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
