Funding Circle Holdings plc (the "Company")
Share Incentive Plan
The Company announces that on 5 May 2021 it issued 1,069,386 ordinary shares of nominal value 0.1 pence each in the capital of the Company to Equiniti Share Plan Trustees Limited at a price of 0.1 pence per share. The shares were issued in satisfaction of free share awards made to participants under the Funding Circle Holdings plc Share Incentive Plan (the "SIP"), including those Persons Discharging Managerial Responsibility of the Company (each a "PDMR") outlined below. The shares rank equally with the existing issued ordinary shares.
As at the date of this announcement, and including the share issue detailed above, the issued share capital of the Company is 355,318,548 ordinary shares, all with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
