EXOVA GROUP PLC

ISSUE OF EQUITY

 Exova Group plc (the "Company") announces that application has been made to the UK Listing Authority and the London Stock Exchange for a listing of 58,823 new ordinary shares of 1 pence each (the "Shares") in the Company for admission on 9 May 2016 to trading on the main market for listed securities of the London Stock Exchange and to listing on the premium listing segment of the Official List maintained by the Financial Conduct Authority. The Shares will rank pari passu with the existing ordinary shares of the Company.

The Shares were issued and allotted on 4 May 2016 to the Exova Group Employee Benefit Trust to satisfy the exercise by Paul Barry, a person discharging managerial responsibilities of the Company, of his fully-vested award under the Company's Deferred Bonus Plan as set out in the Company's RNS announcement dated 5 May 2016.

Following the issue of the Shares, the number of ordinary shares in issue will increase to 250,431,550. For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), the issued ordinary share capital of the Company following this allotment consists of 250,431,550 Shares with voting rights attached (one vote per Share). There are no Shares held in treasury. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
