Transaction in Own Shares
Essentra plc ("Essentra", or the "Company") announces that on 28 September 2023 it purchased the following number of its ordinary shares of 25 pence each in the Company ("Ordinary Shares") from Peel Hunt LLP as part of the buyback programme announced on 29 March 2023 (the "Buyback Programme").

Essentra intends to cancel the purchased Ordinary Shares.
Following the settlement of the above purchases and cancellation, Essentra has 290,876,613 Ordinary Shares of 25 pence each in issue (excluding 5,039,265 Ordinary Shares of 25 pence each held in treasury).
The figure 290,876,613 represents the total number of voting rights in Essentra and can be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

This announcement is made in accordance with the requirements of Listing Rule 12.4.6.
Further to this announcement, Essentra plc also announces that on 5 September 2023 it purchased the following number of its ordinary shares of 25 pence each in the Company from Peel Hunt LLP as part of the buyback programme announced on 29 March 2023.
