Cancellation of Treasury Shares
Man Group plc (the Company) announces that on 28 June 2022, it cancelled 28,872,913 ordinary shares previously held in treasury. Following the cancellation of these shares the total issued listed share capital of the Company (the "ISC") as at the date of this announcement comprised 1,414,772,744 ordinary shares of 33/7 US cents each fully paid. This figure includes 93,401,678 ordinary shares which are held in Treasury, leaving a balance of 1,321,371,066 ordinary shares with voting rights.
The above figure of 1,321,371,066 may be used by shareholders for the calculations by which they will determine if they are required to notify their major interest in, or a change to their major interest in, the Company under the Disclosure Guidance and Transparency Rules.
In addition, the Company has approved the implementation of a standing non-discretionary authority to enable the automatic cancellation of a proportion of the Company's treasury shares during closed periods and any periods during which the Company has inside information (the "Authority"). Pursuant to the Authority, if the number of shares held in treasury reaches 9% of the ISC, shares held in treasury representing 2% of the ISC will be cancelled within two business days, such that the remaining shares held in treasury will represent approximately 7% of the ISC. The Authority does not prohibit the Company from completing further treasury share cancellations outside of closed periods and periods during which the Company has inside information, should it wish to do so. The Authority currently terminates on 31 December 2022 but may be extended by the Company before that date.
