NOTICE OF ENTRY INTO ARRANGEMENTS WITH SERVICE PROVIDERS TO ENSURE COMPLIANCEWITH THE ALTERNATIVE INVESTMENT FUND MANAGERS DIRECTIVE (2011/61/EU) ("AIFMD") 11 July 2014 The Board of Electra Private Equity PLC (the "Company") is pleased to announcethat the Company has entered into the arrangements necessary to ensurecompliance with the AIFMD. Following a review of the Company's arrangements, the Board has approved theappointment of Electra Partners LLP ("Electra Partners") as the Company'salternative investment fund manager (the "AIFM") on the terms of a newManagement and Investment Guideline Agreement between the Company and ElectraPartners. Electra Partners was approved as an AIFM by the UK's FinancialConduct Authority on 11 July 2014. The arrangements in respect of the priorityprofit share and carried interest payable to Electra Partners have not beenchanged. The Board, together with Electra Partners, has appointed Ipes (UK) Limited (the"Depositary") to act as the Company's depositary (as required by the AIFMD) onthe terms of a depositary agreement between the Company, Electra Partners andthe Depositary.
