Significant events to be reported: The registration by FSA of the CIIF related to the reduction of share capital

Electrica informs the shareholders and investors that, on 19 July 2024, The Financial Supervisory Authority (FSA) has issued the Financial Instruments Registration Certificate (CIIF in Romanian) no. AC - 4023 - 3 / 19 Jul 2024 related to the reduction of share capital with the value of own shares held since 2014.

According to the Resolution of the Extraordinary General Meeting of Shareholders ("EGMS") SE Electrica SA, no. 1/25 Apr 2024, the cancellation of own shares in the number of 6,890,593, representing 1.988951% of the share capital, shares obtained through the stabilization which was made as part of the Initial Public Offering in June 2014.

On 11 July 2024, the Bucharest Trade Registry Office accepted the request to reduce the share capital of SE Electrica S.A., according to EGMS resolution no. 1/25 Apr 2024. The share capital of SE Electrica SA is thus reduced from the value of RON 3,464,435,970 to the value of RON 3,395,530,040, and the number of shares is reduced from 346,443,597 shares to 339,553,004 shares.

Following the reduction of the share capital, the Romanian State holds a percentage of 49.7850% of the subscribed share capital, and other shareholders - list type (individuals and legal entities), hold a percentage of 50.2150% of the share capital.

At the same time, we mention that art. 6 - The share capital - from the Articles of Association of Electrica was modified to reflect the change in the share capital, the Articles of Association thus amended being submitted to the Bucharest Trade Registry Office and available on the Electrica website.

The process of finalizing the procedure regarding the reduction of the share capital is ongoing, Electrica taking steps in this regard next to Depozitarul Central SA, where the reduction of the share capital is being registered.
