Shares will be allotted from time to time pursuant to the exercise of shareoptions under the Elan Corporation, plc 1999 Stock Option Plan (2,000,000); theElan Corporation, plc 1996 Long - Term Incentive Plan (500,000); the ElanCorporation, plc 1998 Long-Term Incentive Plan (250,000) and the Elan EmployeeShare Purchase Plan (500,000).
