Result of Annual General Meeting

Notice of General Meeting

Eckoh plc, the global provider of secure payment products and customer contact solutions, is pleased to announce that at the Annual General Meeting held at Telford House, Corner Hall, Hemel Hempstead, Herts HP3 9HN at 11am today, 20 September 2017, all Resolutions put before the meeting were duly passed. The Resolutions put before the meeting were as follows: Resolutions 1 to 9 (inclusive) and Resolution 12. Resolutions 10 and 11, which were special resolutions, were not proposed for the reasons set out below.

 

The notice convening the Annual General Meeting was posted on 25 August 2017 to shareholders who receive notices in hard copy form. However, due to an administrative error, an incorrect version of the notice - which contained incorrect figures in Resolutions 9, 10 and 11 - was initially uploaded to the Company's website on 25 August 2017. The incorrect version posted to the website was replaced with the correct version on 6 September 2017.

 

As a consequence of this administrative error, the Company was advised by its legal advisors that Resolution 9, which was an ordinary resolution, could be proposed at the Annual General Meeting but that Resolutions 10 and 11, which were special resolutions, should not be proposed at the Annual General Meeting and, instead, a further General Meeting of the Company should be called at which those two special resolutions could be tabled and voted upon.

 

Accordingly, the Company has today posted a notice convening a General Meeting of the Company, to be held at the offices of Eckoh plc, Telford House, Corner Hall, Hemel Hempstead, Hertfordshire HP3 9HN on 16 October 2017 at 11.00 a.m. (the "Notice"), at which two special resolutions, on the same terms as those which were to be proposed at the Annual General Meeting, will be tabled. A copy of the Notice is available to download from the Company's website at www.eckoh.com.

 

As announced on 8 June 2017, Chris Batterham today stepped down as Chairman of the Company and from the Board immediately following the AGM. Christopher Humphrey, who was appointed a non-executive Director of the Company has succeeded Mr Batterham as Chairman as planned.
