Total Voting Rights

In conformity with rule 5.6.1 of the FCA's Disclosure and Transparency Rules, Energy Assets Group plc (LSE: EAS.L), the largest independent provider of industrial and commercial (I&C) gas metering services in the UKi, advises that, as at the date of this announcement, its issued ordinary share capital now consists of 27,284,851 ordinary shares of £0.01 each. The Company holds no ordinary shares in Treasury.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Energy Assets Group plc under the FCA's Disclosure and Transparency Rules.

The increase in the ordinary share capital results from the issue of 38,770 ordinary shares in connection with the exercise of share options announced on 25 April 2014 and 29 April 2014.
