Reorganisation of employee and director share option scheme and subsequent Directors' Dealing
The Company announces that certain directors have been requested by the board to exercise some of their unapproved share options and they have agreed to commit to the terms, rules and risks of a joint share ownership plan (JSOP), which will also largely replace the directors' remaining, unvested, unapproved share options. The JSOP awards will result in an immediate personal tax charge for each director based on the market value of their part interest in the shares issued, but will more closely align their interests with those of other shareholders, since the directors will only benefit from future gains in the share price above a 5.9% per annum minimum rise. The tax charge and the minimum growth rate represent risks to the participants which were not present in the previously existing unapproved option awards. Furthermore, the new jointly owned shares which replace the exercised options have an additional three year vesting period, while the vested unapproved options might have been exercised at any time. The Company anticipates offering the opportunity to participate in the JSOP to certain senior management in the near future. The total of newly issued jointly owned shares and remaining exercisable options will not be more than the number of options which previously existed and will remain capped at 10% of the number of ordinary shares in issue. Disclosure and Transparency Rules
In accordance with the FSA's Disclosure and Transparency Rules, the Company's issued share capital following the admission of the new 1,819,290 Ordinary Shares will comprise 54,246,451 ordinary shares of 5p with voting rights. These shares are expected to be admitted to trading on 12 October 2011. This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
