RESULTS OF RIGHTS ISSUE
e2v technologies plc announces that the 9 for 7 Rights Issue of 120,854,782 New Shares at 28 pence per New Share announced on 29 October 2009 closed for acceptances at 11.00 a.m. (London time) on 7 December 2009. The Company received valid acceptances in respect of 118,136,307 New Shares representing approximately 97.75 per cent. of the total number of New Shares offered to Qualifying Shareholders pursuant to the Rights Issue.
It is expected that the New Shares in uncertificated form will be credited to the CREST accounts of Qualifying CREST Shareholders by 8.00 a.m. on 8 December 2009 and that definitive share certificates for the New Shares will be despatched to Qualifying Non-CREST Shareholders by 14 December 2009. It is expected that admission of the New Shares, fully paid to the Official List and to trading on the London Stock Exchange's main market for listed securities and commencement of dealings in the New Shares will become effective at 8.00 a.m. on 8 December 2009.
In accordance with the arrangements as set out in Part 14 of the prospectus, sent out to shareholders on 2 November 2009 (the "Prospectus"), a copy of which is available on the Company's website, RBS Hoare Govett Limited as Bookrunner and Broker, will be seeking to procure subscribers for the remaining 2,718,475 New Shares for which valid acceptances were not received (including fractional entitlements). To the extent that RBS Hoare Govett Limited cannot procure subscribers, they will subscribe themselves for such of the remaining New Shares. A further announcement as to the number of New Shares for which the subscribers have been procured will be made in due course.
Any premium over the aggregate of the Rights Issue Price of 28 pence per New Share and the expenses of procuring subscribers will be paid to Shareholders who have not taken up their entitlements pro rata to their lapsed provisional allotments, provided that individual amounts of less than £5.00 will not be paid to such persons but will be paid to the Company.
