Board of Directors changes

The Company today announces that its Chief Executive, Keith Attwood, will be stepping down from his position of CEO and Executive Director of the Board with effect from 30 August 2013. After 15 years as CEO, Keith wishes to pursue other interests and he believes that the time is right in the evolution of e2v's business to enable him to take that step now. The Company has commenced the process of recruiting his successor and Keith will provide transitional support to ensure that appropriate arrangements are in place to provide for a smooth transition. Neil Johnson, e2v's Chairman, will assume additional responsibilities.

The Company further announces that Alison Wood will be appointed as a Non-Executive Director and as the Senior Independent Director of the Company with effect from the conclusion of the Company's Annual General Meeting ("AGM") today. Alison brings with her a wealth of experience in corporate strategy and strategic business development across the UK and US. Alison is currently an Independent Non-Executive Director of Cobham plc (2011-current) and has previously held Non-Executive Directorships at BTG plc (2004-2008) and THUS plc (2007-2008). Alison was also Global Director Corporate Development & Strategy for National Grid plc (2008-2013) and prior to this she was Group Strategic Development Director for BAE Systems plc (1991-2008). There are no further disclosures required by LR 9.6.13.

As already announced on 12 June 2013, Anthony Reading will step down as a Non-Executive Director of the Company, Senior Independent Director and Chairman of the Remuneration Committee following the conclusion of today's AGM. The Company would again like to thank Tony for his contribution to e2v.

The Company is pleased to announce that Krishnamurthy Rajagopal will be appointed as Chairman of the Remuneration Committee of the Board with effect from the conclusion of today's AGM.
