Notification of Transactions of Directors, Persons Discharging Managerial

Responsibility ("PDMRs") or Connected Persons

In accordance with Disclosure and Transparency Rule 3.1.4, Devro today announces that it has been notified of the following transactions:-

1. Simon Webb, Group Finance Director of the Company, has today advised the Company that on 9 May 2014, he exercised nil-priced options relating to 18,952 10p Ordinary Shares in the Company ("Shares") under the Devro 2003 Performance Share Plan.

2. Michal Stocek, a PDMR of the Company, has today advised the Company that on 9 May 2014 he exercised nil-priced options relating to 13,414 Shares under the Devro 2009 Deferred Share Bonus Plan, and a further 11,490 Shares under the Devro 2003 Performance Share Plan.

3. Gordon Frame, a PDMR of the Company, has today advised the Company that on 9 May 2014, he exercised nil-priced options relating to 40,000 Shares under the Devro 2003 Performance Share Plan.
