Grant of Options
DP Poland, the operator of pizza stores and restaurants across Poland and Croatia, announces a grant of share options over ordinary shares of 0.5 pence each in the Company ("Share Options").
Issue of Options
The Company has granted 4,750,000 Share Options to certain employees and board members under the employee share option plan at an exercise price of 8 pence per Share Option. Share Options have been granted to the following Persons Discharging Managerial Responsibility ("PDMRs"):

In respect of the Share Options issued to Nils Gornall and Edward Kacyrz, 50% will time-vest and 50% will vest subject to certain performance indicators being met or exceeded. Of the time-vesting portion, 25% vest 12 months from 1st January 2024 and 75% vest in 36 equal monthly instalments thereafter. The Share Options linked to key performance indicators carry the performance criteria of EBITDA which must be achieved annually over the vesting period and total number of stores target.
Of the Share Options issued to Jeremy Dibb, Stoffel Thijs and David Wild, 100% will time-vest. Of the time-vesting portion, 25% vest 12 months from 1st January 2024 and 75% vest in 36 equal monthly instalments thereafter.
