LONG TERM INCENTIVE AWARDS TO EXECUTIVE DIRECTORS
The Remuneration Committee has approved the grant of long term incentive Awards of Ordinary Shares of 5p each in Diploma PLC to the Executive Directors under the Diploma PLC 2011 Performance Share Plan ("PSP"):

The Awards are subject to the achievement of performance conditions measured over a three-year performance period ending 30 September 2022 and the number of Ordinary Shares shown above represent the maximum number of shares which may vest in connection with these Awards.
A summary of the PSP, including the performance conditions relating to these Awards, is set out in the Annual Report & Accounts 2019 that was sent to Shareholders on 6 December 2019. The Annual Report & Accounts 2019 is also on the Company's website at www.diplomaplc.com
